01 / Acceptance
Acceptance of Terms
Welcome to DMAT (operated by Pandiri Digital Marketing Pvt Ltd). These Terms of Service ("Terms") govern your use of our website services.dmat.in and our digital marketing and AI training services ("Services").
By accessing our website, requesting a quote, signing a service agreement, or paying for our services, you ("Client", "you") agree to be bound by these Terms. If you don't agree, please don't use our services.
Capacity to Contract
You must be at least 18 years old and legally capable of entering into binding contracts under the Indian Contract Act, 1872. If you're engaging on behalf of a company, you confirm you have authority to bind that entity.

Our Services
DMAT provides the following professional services:
SEO services — Search engine optimization, technical SEO, content optimization
Performance marketing — Google Ads, Meta Ads, LinkedIn Ads, Snapchat Ads management
Social media marketing — Organic content, community management, influencer collaborations
AI automation — Workflow automation, chatbots, AI-powered business systems
AI & digital marketing training — Live and recorded training programs
Specific service scope, deliverables, and pricing are detailed in individual service agreements or proposals signed with each client.
03 / Eligibility
Eligibility & Account
To use our services, you must:
Be at least 18 years old
Provide accurate and current information about yourself or your business
Have legal authority to engage our services (for businesses, valid GST registration if applicable)
Comply with all applicable Indian laws and platform policies (Meta, Google, etc.)
Not be a prohibited business category (see Section 4 below)
Prohibited Business Categories
We do not provide services to businesses in the following categories:
Illegal products or services under Indian law
Adult content, gambling, or betting (where prohibited by law)
Multi-level marketing (MLM) or pyramid schemes
Cryptocurrency trading or token sales (without proper SEBI/RBI compliance)
Unregulated financial services, loans, or investment schemes
Hate speech, misinformation, or content violating platform policies
04 / Engagement
Service Engagement
Our service engagement follows this typical workflow:
Discovery & Proposal
Initial consultation via WhatsApp, email, or Zoom call
Free audit or assessment of your current situation
Customized proposal with scope, deliverables, timeline, and pricing
Agreement signing via digital signature or email confirmation
Onboarding
Kickoff call to align on goals, brand voice, and expectations
Access provisioning to required platforms (with you retaining ownership)
Project management tools setup (Notion, Slack, or your preferred system)
Service Delivery
Work performed according to agreed scope and timeline
Regular reporting (weekly, bi-weekly, or monthly depending on service)
Ongoing communication via designated channels
05 / Payment
Payment Terms
Service Fees
Monthly retainers: Payable in advance at the start of each service month
Project-based fees: Typically 50% advance + 50% on completion (or as agreed)
Performance-based pricing: Percentage of ad spend or revenue, as agreed in writing
Training programs: Full payment upfront before course access
Ad Spend (Separate from Service Fees)
Ad spend for paid campaigns (Google, Meta, LinkedIn, Snapchat) is separate from our management fees. You pay platforms directly using your own billing card. We never charge ad spend through our accounts.
Taxes
All fees are exclusive of GST (18%) unless specified otherwise. GST will be added to invoices as per Indian law.
Payment Methods
Bank transfer (NEFT, RTGS, IMPS)
UPI payments
Online payment via Razorpay (cards, net banking, wallets)
International payments via Wise or Razorpay International
Late Payments
Invoices are due within 7 days of issuance. Late payments may result in:
Service suspension after 7 days of non-payment
Late fee of 2% per month on outstanding amounts
Termination of engagement after 30 days of non-payment
06 / Your responsibilities
Client Responsibilities
For successful engagement, you agree to:
Provide timely access: Grant required platform access within 3 business days of request
Share accurate information: Brand assets, product info, target audience details, business goals
Respond to communications: Reply to our messages and approval requests within 48 business hours
Approve creative work: Review and approve creatives, copy, and strategies in agreed timeframes
Maintain ad spend: Ensure your ad accounts have sufficient billing credit for uninterrupted campaigns
Comply with policies: Follow all platform policies (Meta, Google, LinkedIn, Snapchat) and Indian advertising regulations
Provide accurate product/service info: Don't make false claims that could violate advertising policies
Pay invoices on time: As per agreed payment schedule
Failure to fulfill these responsibilities may impact service delivery and results. We are not liable for delays or underperformance caused by client-side issues.
07 / Deliverables
Deliverables & Timelines
Specific deliverables and timelines are documented in your individual service agreement. Generally:
Website projects: 2-6 weeks depending on complexity
Ad campaign launches: 2-3 weeks from kickoff
SEO projects: Initial audit in 1 week, ongoing monthly deliverables
AI automation: 2-4 weeks per workflow
Revisions & Changes
Each project includes agreed revision rounds (typically 2-3 rounds). Additional revisions or scope changes may be billed separately.
No Result Guarantees
Important
While we work diligently using industry best practices, we cannot guarantee specific results (rankings, conversions, ROAS, leads) since these depend on market conditions, competition, product fit, and many factors outside our control. We commit to process excellence, not outcome guarantees.
08 / Intellectual property
Intellectual Property
Your Content
You retain full ownership of all content, brand assets, trademarks, and materials you provide to us. By engaging our services, you grant us a limited license to use these materials solely for delivering the agreed services.
Our Deliverables
Upon full payment, ownership of agreed deliverables (websites, creatives, copy, strategies) transfers to you. Specifically:
You own: Your ad accounts, campaign data, creative assets, websites, domains, content
You own: All Meta Pixel data, Google Analytics data, LinkedIn Insight Tag data
We retain: Our proprietary frameworks, methodologies, tools, templates, and case studies
Shared rights: We may showcase non-confidential aspects in our portfolio (anonymized if requested)
Third-Party Assets
Stock photos, fonts, plugins, and third-party tools used in deliverables remain under their respective licenses. You're responsible for maintaining valid subscriptions where applicable.
09 / Confidentiality
Confidentiality
Both parties agree to keep confidential information confidential:
Confidentiality obligations survive termination of our engagement for 3 years. Exceptions: information that becomes publicly available, was already known, or is required to be disclosed by law.
10 / Disclaimers
Disclaimers & Warranties
Our services are provided "as is" and "as available". We make no express or implied warranties beyond what is explicitly agreed in writing.
What We Don't Guarantee
Specific search engine rankings or positions
Specific ROAS, ROI, conversion rates, or lead volumes
Continuous uninterrupted service (platform outages, policy changes happen)
Compatibility with all future platform updates
Approval of ad accounts or content by ad platforms
What We Do Guarantee
Professional execution using industry best practices
Transparency in reporting and communication
Confidentiality of your business information
Honest assessment when something isn't working
Data ownership — you keep all accounts and data
11 / Liability
Limitation of Liability
To the maximum extent permitted by Indian law:
Our total liability for any claim is limited to fees paid by you in the 3 months preceding the claim
We are not liable for indirect, incidental, special, or consequential damages
We are not liable for lost profits, lost data, business interruption, or reputational damage
We are not liable for third-party platform actions (account bans, policy violations, etc.)
We are not liable for client-side errors, missed approvals, or insufficient ad budgets
These limitations apply even if we've been advised of the possibility of such damages.
12 / Termination
Termination
Termination by You
Monthly retainers: Cancel with 15 days written notice before next billing cycle
Project work: Pay for completed work; cancellation fees may apply per signed agreement
You engage in illegal, unethical, or harmful activities
Continued service violates platform policies or laws
Communication breaks down beyond reasonable repair
Post-Termination
We provide 7-day handover support at no extra cost
You receive all account access, data exports, and deliverables completed to date
Outstanding invoices remain payable
Confidentiality obligations continue per Section 9
13 / Governing law
Governing Law & Jurisdiction
These Terms are governed by the laws of India. Any disputes will be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana, India.
Dispute Resolution
Before pursuing legal action, both parties agree to attempt resolution through:
Step 1: Good-faith negotiation between principals (30 days)
Step 2: Mediation through a mutually agreed mediator (if Step 1 fails)
Step 3: Arbitration under the Arbitration and Conciliation Act, 1996, in Hyderabad
Step 4: Court proceedings as a last resort
14 / Changes
Changes to These Terms
We may update these Terms periodically. Material changes will be:
Notified via email to active clients
Posted prominently on services.dmat.in
Reflected in the "Last updated" date at the top
Continued use of services after changes constitutes acceptance. For material changes affecting ongoing engagements, we'll seek explicit consent.
Entire Agreement
These Terms, together with any service agreements, our Privacy Policy, and Refund Policy, constitute the entire agreement between you and DMAT regarding our services.
Severability
If any provision is found unenforceable, the remaining provisions remain in full effect.
